A stake with a long-term outlook
The French banking group BPCE has acquired approximately 7% of Banco Sabadell’s share capital through market purchases and financial instruments, according to the joint disclosure submitted to the National Securities Market Commission (CNMV). The entities describe the investment as friendly. BPCE states its intention to be a stable, long-term shareholder and says it does not expect to increase its stake above 9.9%.
The investment also opens the door for BPCE to have representation on Sabadell’s board of directors. The French group has stated its intention to request a seat, with the support of the Spanish bank. The disclosure also highlights that BPCE supports Sabadell’s strategy, growth plans and management team.
Areas for exploring cooperation
Alongside the investment, the two entities plan to explore possible business cooperation opportunities. The areas mentioned include corporate and investment banking, equipment leasing, consumer credit and clients’ international business.
The stated aim is to identify ways that could support Sabadell’s development in Spain and strengthen BPCE’s European presence. The banks expect the discussions to conclude in early 2027 and have committed to informing the market of any significant developments. For now, the announcement sets out an intention to explore cooperation, not agreements already finalized in these areas.
The entities’ explanations
Sabadell chairman Josep Oliu presented the investment as recognition of the strength of the bank’s independent project, its team and its growth opportunities. Chief executive Marc Armengol said that BPCE’s entry strengthens the bank’s ability to execute its strategic plan and generate long-term value.
For BPCE, its chief executive, Nicolas Namias, explained that the transaction fits with the group’s European growth and diversification strategy. He also noted that Sabadell’s position in Spain and BPCE’s international capabilities could offer opportunities for cooperation.
An interpretation that does not amount to a confirmed effect
The entry of a shareholder of this size has been interpreted in some reports as a possible source of support against future takeover bids. However, that effect is not established by the joint announcement: the entities disclosed the stake, their intention to remain invested, the possible representation on the board and the exploration of business opportunities, but did not state that the transaction prevents or shields Sabadell from potential offers.
