BPCE takes a nearly 7% stake in Banco Sabadell and will explore a business partnership

The French group built its stake through market purchases and financial instruments. It aims to be a stable, long-term shareholder and will study possible collaborations with Sabadell, with their scope expected to be defined by early 2027.

BPCE, one of France’s leading banking groups, has acquired approximately 7% of Banco Sabadell’s share capital through market purchases and financial instruments. Both entities describe the investment as friendly. BPCE says it wants to maintain a stable, long-term stake and does not plan to increase it beyond 9.9%.

The French group also intends to secure representation on Sabadell’s board of directors. According to the joint announcement, the appointment is subject to corporate governance procedures and the relevant Spanish and European supervisory authorisations.

An investment intended to be long-term

BPCE’s entry brings a new major shareholder into the Spanish bank. Sabadell chairman Josep Oliu said the decision recognises the strength of the bank’s independent project and that the French group’s presence reinforces the stability of its shareholder base. BPCE chief executive Nicolas Namias linked the investment to his group’s European growth and diversification strategy and expressed confidence in Sabadell’s management and plans.

Although some coverage interprets the transaction as a possible bulwark against future takeover bids, that effect is not guaranteed by the announcement. BPCE’s stake, in itself, does not determine the outcome of any potential corporate transactions or the decisions of other shareholders.

Cooperation in business areas yet to be defined

Alongside the investment, both entities plan to explore opportunities for collaboration in corporate and investment banking, equipment finance leasing, consumer credit and international client business. The stated aim is to assess how BPCE’s capabilities could complement Sabadell’s offering and contribute to its business in Spain, while the French group strengthens its European presence.

The discussions will aim to identify potential areas of cooperation and are expected to conclude in early 2027. For now, the banks have announced areas they will explore, not specific commercial agreements or expected financial results. They also said they will inform the market of relevant developments in accordance with applicable regulations.

What the announcement means for businesses

For companies that are clients of either entity, the announcement opens a phase of analysis into potential cross-border services and complementarities in business financing, investment and international activity. However, no products, terms, launch timelines or operational changes have yet been detailed. Businesses will have to wait for the entities to clarify whether the discussions will result in services being made available.

The transaction also does not, in itself, change Sabadell’s strategy or management: BPCE has stated that it supports the bank’s growth plans and management team. Any future changes will depend on the corporate, regulatory and commercial decisions made as the procedures and discussions progress.
